Agency Website, Branding, & Marketing Terms of Services

By submitting payment, you ("Client") agree to the following Agency Website, Branding, & Marketing Terms of Services with Michelle Rabell | IndigaMedia, Inc. ("Service Provider"). This Agreement outlines the terms and conditions for website-related, branding, marketing, and third-party integration services, including add-on projects and additional services beyond the scope of larger project contracts.

1. Scope of Services
Service Provider agrees to provide website-related, branding, marketing, and BodyGraph Chart services as outlined in the project description provided to the Client. These may include, but are not limited to, website updates, design modifications, content additions, plugin integrations, technical support, branding strategy, marketing strategy, content creation, digital advertising, and BodyGraph Chart setup, integration, and related consulting services.

2. Payment Terms

• Payment is due upon submission unless an installment plan has been agreed upon in writing.

• For installment payments, the Client agrees to make all scheduled payments on time. Non-payment may result in service suspension until payment is received.

• All payments are non-refundable once the agreed-upon deliverables have been provided.

3. Deliverables
Deliverables will be outlined in the project scope shared with the Client. A deliverable is considered "met" when the agreed-upon services have been provided, regardless of whether the Client has implemented or utilized the service.

4. Revisions and Additional Work
Unless otherwise specified, the project includes up to [Insert Number] revisions. Additional revisions or work beyond the agreed scope will be billed separately at [Insert Hourly Rate or Flat Rate].

5. Client Responsibilities
The Client agrees to provide all necessary information, content, and feedback in a timely manner to ensure project progress. Delays caused by the Client may result in adjustments to the project timeline.

6. Intellectual Property
The Client retains ownership of all content provided. The Service Provider retains the right to showcase the completed work in portfolios, unless otherwise agreed in writing.

7. Limitation of Liability
Service Provider is not liable for any indirect, incidental, or consequential damages arising from the services provided. Service Provider's total liability is limited to the amount paid by the Client for the specific project.

8. Termination
Either party may terminate this agreement with written notice. In the event of termination, the Client agrees to pay for all work completed up to the termination date. If the Client has already submitted payment and the agreement has been signed, no refunds will be issued, even if the Client chooses not to continue with the services. The Client acknowledges that the Service Provider has allocated time, resources, and effort based on the agreement, and therefore all payments made are non-refundable.
